GENERAL OVERVIEW

Armstrong Rewards is a training and rewards program (the "Armstrong Rewards Program" or "Program") operated by Armstrong Flooring, Inc. d/b/a Armstrong of America ("Armstrong" or "we" or "us" or "our"). Armstrong allows authorized retail sales associate participants ("Participant" or "you") to earn reward points ("Points") under this Program by completing training on, and by selling, qualifying Armstrong products.

ELIGIBILITY

This Program is available to any retail sales associate 18 years of age or older who is employed at a store owned by an independent Armstrong dealer within the United States that sells Armstrong products. All applicable federal, state and local laws and regulations apply. Void where prohibited by law.

ENROLLMENT

To be accepted as a Participant in our Program, you must register for an account using our online registration form located at www.ArmstrongRewards.com ("Account") The registration form will ask you for certain personal information, which may include name, store/employer name, address, date of birth, email address, telephone number, and a user name and password to access your Account (all information provided by you, "Participant Information"). In order to enroll in our Program, you must agree to the Program terms and conditions set forth in this document and to Armstrong's Privacy Policy (collectively, "Terms and Conditions"). Each Participant may only register for one Account. Armstrong may, at its sole discretion, refuse to enroll any applicant for any reason.

Once officially enrolled in into our Program, you will be granted access to our Program website (the "Site") based on your store type and location. The Site will contain your Account information including Point balance, reward statement, redemption information, and access to our E-Learning Training Library, current product promotions, a list of all qualifying products along with the number of Points associated with such products, our weekly challenge, and a "spin-to-win."

EARNING POINTS

Participants may earn Points in various ways, including:

1. Selling qualified products to customers
2. Successfully completing our online training modules from our E-Learning Library
3. Taking our challenge
4. Selecting a "wish list" item
5. Participating in our online surveys
6. Participating in our promotions or special events

Qualifying Sale

Participants may earn Points for each completed sale of a qualifying Armstrong product. Participants can claim their sales on the Site and earn points per unit of measure based on a point matrix specified by Armstrong as set forth on the Site. By entering information concerning the product sale in a sales invoice, your Account balance will show Points as "Pending Points." Once the sales invoice has been fully paid by customer, and the paid invoice data file is submitted to Armstrong, your Pending Points will be converted to "Redeemable Points."

E-Learning

Participants may earn Points for each successfully completed E-Learning training module which requires the Participant to complete 80% of the E-Learning training module. E-Learning modules are listed by category on the Site. Every Participant will be required to complete the core curriculum within 90 days of opening an Account. The number of Points awarded for each completed training module is set by a Armstrong Authorized Rep.

Challenge

Armstrong, in its sole discretion, may make Challenges available for the opportunity to earn and receive additional points. Any Challenge shall set forth the terms and rules governing it and shall only be for the stated time periods, and applicable to the stated products, as specifically identified in it.

Wish List

Participants may earn a one-time bonus by selecting a wish list item. When an RSA registers and logs-in to the platform for the first time and selects the items "Wish List Item" for which the RSA wants to earn points, the RSA will automatically receive bonus points in his or her redeemable box, which is subject to change based on the Wish List Items that may be offered from time to time in the sole discretion of Armstrong.

Online Surveys

We may conduct online surveys concerning our products or customers throughout the year. Participants may earn Points by participating in our surveys.

Promotions and Special Events

We may launch segmented promotions of our products throughout the year. Any promotions applicable to your store or your region will be visible to you on the Site. Details of the promotion, along with promotion terms and conditions, applicable products and Points offered per product will be determined by a Armstrong Authorized Rep. Armstrong may also, in its sole discretion, award Points for participation in special in-store or on-line events.

Accrued points do not constitute property of Participant. Points are for Participant's benefit only and are not transferable to another person for any reason.

REDEEMING POINTS

Participants may redeem their "Redeemable Points" by clicking on the "Shop" menu to be directed to our Awards Mall for shopping. We may offer awards such as reloadable American Express gift cards, merchandise, trip vouchers, Armstrong events, and dealer credit under select conditions. An Armstrong Authorized Rep has sole discretion as to the type and number of awards available to Participants, the list of qualifying products and assigned Point value, and may modify the same with no notice.

Armstrong reserves the right to substitute a reward at its sole discretion. Gift cards should be treated like cash. Armstrong shall not be responsible for lost gift cards or rewards redeemed by an unauthorized user of your Account.

TAXES

Participants are responsible for all federal, state and local taxes as well as any other costs or expenses associated with award selection. Any Participant that redeems at least $600 in award value per calendar year under our Program will receive an IRS Form 1099 from the Incentive Team by January 31 following the end of each applicable calendar year.

EXPIRATION OF POINTS

After 90 days with no Account activity, all your Pending Points and Redeemable Points shall expire and you will be notified by email that your Points have expired. To prevent the expiration of Points, you must log into your account at least once every 90 days. Points do not have to be completely used within such 90 day period, but you must log in at least once every 90 days to keep your account active. Once your points expire they are no longer available to you and they revert back to Armstrong and you have no rights or claim with respect to such expired points nor does Armstrong have any obligations to you with respect to expired points.

MANAGING YOUR ACCOUNT

Login to your Account to view the Points you have earned and redeemed. Contact us at the below number or email if you believe there is an error in your Account balance. We will review your claim and determine, at our sole discretion, whether there is a discrepancy and may adjust your Account balance accordingly. Contact us immediately if you believe there is any suspicious Account activity, or if your username and password has been lost or stolen.

ACCOUNT CANCELLATION, INACTIVITY AND TERMINATION

Armstrong reserves the right to cancel and close any Account after 12 months with no activity, without notice. All accumulated yet unredeemed Points will be forfeited. Armstrong reserves the right in its sole discretion to suspend or terminate your participation in the Armstrong Rewards Program in the event of any suspected misconduct, fraud, abuse, suspicious activity, or violation of these Terms and Conditions and shall have no liability as a result of such suspension or cancellation. You hereby grant Armstrong and its third party providers the right to monitor your Account activity and take any necessary legal action based on suspected fraud, abuse, or suspicious activity in connection with your Account activities and you agree to cooperate with such action.

You may cancel your Account at any time by calling our customer service number found in the "Contact Us" section below. If you cancel your Account, any Points in your Account will immediately be cancelled.

SITE CONTENT

All information provided by or on behalf of Armstrong, including, but not limited to, training materials, product specifications, all content on or generated by this Site (excluding Participant Information) are the sole and exclusive property of Armstrong and are protected as Armstrong intellectual property or confidential and proprietary information (collectively, "Armstrong Property"). Other than as set forth under these Terms and Conditions, use of any Armstrong Property without prior written consent of Armstrong is strictly prohibited.

PRIVACY POLICY

Participant Information will be treated in accordance with Armstrong's Privacy Policy, available at [insert hyperlink].

PUBLICITY

By participating in the Program, you grant us the right to use, display and publish your name, likeness, biographical information and/or statements, for advertising and promotional purposes without further notification, permission or consideration, unless prohibited by applicable law.

MODIFICATION OF TERMS AND CONDITIONS

Armstrong reserves the right at any time, in its sole discretion, to modify these Terms and Conditions. Any such changes are effective immediately and Participant's continued enrollment in the Program, use of the Site, or redemption of Points, confirms Participant's acceptance of and compliance with the modified Terms and Conditions. Participant should review these Terms and Conditions periodically. Armstrong shall have no liability as a result of such modification of the Program.

TERMINATION OF PROGRAM

Armstrong reserves the right at any time, in its sole discretion, to terminate the Armstrong Rewards Program. Effective immediately upon Program termination, unless otherwise notified in writing by Armstrong, Participant's Account will be terminated and Participant will no longer be able to earn or redeem Points. Armstrong shall have no liability as a result of such termination of the Program.

DISCLAIMERS

Armstrong and its third party providers make no representations, warranties or covenants of any kind concerning the Program or Points. Participants join our Program and use our Site at their own risk. This Site, Armstrong Property and rewards are provided "as is" without any warranty or guarantee of any kind, either expressed or implied, including implied warranty of merchantability, fitness for a particular purpose or for intended use or arising from course of dealings or usage of trade. Armstrong is not responsible for interrupted or unavailable servers, connections, miscommunications, incomplete transmissions, or your computer hardware or software or program malfunctions, internet connection, or for other errors, omissions, interruptions, or deletions of any kind whatsoever related to your participation in our Program.

LIMITATION OF LIABILITY

Under no circumstances are we, or our vendors, liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages or losses, whether based on warranty, contract, tort or otherwise, even if you have been advised of the possibility of such damages, that may have resulted from your participation in our Program, access to this Site, use of Armstrong Property, services or merchandise provided through Armstrong.

INDEMNIFICATION

Participant hereby releases and agrees to indemnify and hold Armstrong, its employees, officers, directors, third party providers and agents harmless from and against any and all losses, damages, liabilities, costs, claims, or any other injury, whether due to negligence or otherwise, to persons or property, due in whole or in part, directly or indirectly, to Participant's participation in the Armstrong Rewards Program, or the acceptance, use, misuse or possession of any Points or any rewards obtained through our Program.

GOVERNING LAW

This Program shall at all times and in all respects be governed by the laws of the State of Georgia, without regard to its rules of conflicts or choice of laws. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the state and federal courts located in the State of Georgia in any action or proceeding arising out of or relating to this Program.

DISPUTE RESOLUTION

All questions or disputes regarding the Program or Terms and Conditions should be directed to Armstrong at the contact information provided below. In the event we are not able to resolve your concerns to your satisfaction, you or we may elect to resolve the dispute by individual arbitration. By participating in our Program, you agree that any unresolved actions arising out of or relating in any way to the Program will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") before a neutral single arbitrator, all pursuant to AAA's Commercial Arbitration Rules. Contact AAA to begin an arbitration or for other arbitration related information.

The arbitration shall be held in Atlanta, Georgia and the arbitrator's decision shall be controlled by these Terms and Conditions. There shall be no right or authority for any claims at any time to be arbitrated on a class action or representative basis. Arbitration can only be decided on the Participant's individual claim and the arbitrator may not consolidate or join the claims of other individuals with your claim. YOU HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY.

Each party is responsible for paying its share of any arbitration fees (including filing, administrative, hearing and other fees).

ASSIGNMENTS

You may not sell, assign or transfer any Points you receive or assign your rights and obligations hereunder to any other person. Armstrong may sell, transfer or assign the Armstrong Rewards Program, these terms and conditions, or your Account, in whole or in part, without notice to you.

This Site may contain links to third party websites. Armstrong has no control over such third party websites and is not responsible for their content. If you click on a link that takes you to a third party website, you do so at your own risk, subject to the privacy policy and terms and conditions as contained in that website.
